Free Zone Company Seal Stamp Requirement UAE 2026: Which Authorities Still Require a Physical Stamp
By UAE Freezone Finder Team | Updated September 2026
Is a Company Stamp Still Legally Required for a UAE Free Zone Company?
There is no UAE federal statute that makes a company stamp mandatory for a free zone entity. The Commercial Companies Law does not name a seal as a condition of incorporation, and most free zone authorities — DMCC, IFZA, Meydan, RAKEZ, SPC Free Zone — no longer print “company stamp required” anywhere in their incorporation checklists. That legal gap is exactly why the question keeps coming up: a stamp being optional on paper does not mean every counterparty treats it that way. The gap between what the law requires and what a bank teller, a MOHRE clerk or a customs officer will actually accept without pushback is the real subject of this guide.
In practice, whether you need a stamp depends less on your free zone licence and more on which external authority you are dealing with that week — a bank, a government ministry, a court, or a trading partner overseas. The sections below go authority by authority.
Which Government Authorities Still Require a Physical Company Stamp?
Four federal and emirate-level bodies are the ones free zone founders run into most often, and their stamp expectations have not moved at the same pace.
MOHRE still expects a stamped offer letter and labour contract
The Ministry of Human Resources and Emiratisation processes free zone labour contracts, quota applications and employee offer letters. While MOHRE’s own e-services portal accepts digitally authorised submissions from an authorised signatory, the underlying offer letter and labour contract templates most PRO companies and HR teams still submit are stamped documents — MOHRE case officers routinely reject an offer letter that carries only a signature with no company stamp, particularly for first-time quota approvals. If your company has no stamp, expect at minimum a follow-up query before a labour file clears.
GDRFA and ICP still ask for a stamped company undertaking on visa files
Employment and investor visa applications processed through the General Directorate of Residency and Foreigners Affairs (GDRFA) or the Federal Authority for Identity, Citizenship, Customs & Port Security (ICP) typically require a company undertaking or guarantee letter. Free zones that route visas through their own e-channel (most do) will accept a digitally submitted form, but the underlying letter template still has a marked stamp box, and immigration typing centres frequently print and re-stamp the letter as a manual step before filing — so the stamp requirement survives even where the front-end process looks fully digital.
Dubai Customs moved to UAE Pass digital signing in May 2026 — but only for new declarations
Dubai Customs began accepting UAE Pass digital signatures in place of digital certificates on the Dubai Trade portal from 10 May 2026, letting an authorised company representative sign customs declarations without a physical stamp. That change covers declarations filed after the cutover. Commercial invoices attached to those declarations, however, are still commonly expected to carry a company stamp alongside the signature — customs brokers report that an unstamped commercial invoice is more likely to trigger a manual document check, even though the declaration itself no longer needs one.
The Chamber of Commerce still stamps certificates of origin, and expects yours stamped too
A certificate of origin — required for most exports and re-exports out of the UAE — is issued and stamped by the relevant emirate’s Chamber of Commerce (Dubai Chambers, Abu Dhabi Chamber, Sharjah Chamber, etc.). The commercial invoice submitted as supporting evidence for that certificate is still expected to be signed and company-stamped; a stampless invoice is one of the more common reasons an application gets sent back for correction. If your free zone company trades physical goods internationally, this is the single authority where skipping a stamp causes the most repeat friction.
Do UAE Banks Still Insist on a Physical Company Stamp?
Banking is the area where the free zone company seal stamp requirement UAE founders ask about most is least consistent — the requirement is set bank by bank, not by a single regulator.
Account-opening applications vary from bank to bank, not by free zone
Some UAE banks require a company seal impression on the account-opening form and board resolution as a matter of internal policy; others accept a signature alone from an authorised signatory listed on the trade licence. This is not tied to which free zone issued your licence — two companies licensed by the same free zone authority can be asked for different things depending on which bank they approach. Banks that do require a stamp will also usually want the MOA or board resolution notarised or attested by the free zone authority, so the stamp requirement often travels together with a notarisation step.
Physical cheque books and paper instruments still carry a stamp expectation
Even accounts opened without a stamp on file at onboarding often run into it later: cheque books, physical loan and guarantee documents, and paper-based trade finance instruments (letters of credit in particular) are still routinely expected to be company-stamped, because the bank’s back-office signature-verification process was built around a stamp-plus-signature pair. A company that skipped the stamp at account opening sometimes has to go back and register one once it needs a cheque book.
Which Free Zone Authorities Have Actually Dropped the Stamp Requirement?
Free zone incorporation paperwork is the one category where the picture has genuinely moved — most major zones now process the licence itself without ever asking for a stamp.
| Free Zone | Stamp Needed for Incorporation? | Digital Signature Accepted? |
|---|---|---|
| DMCC | No — MOA is notarised, not stamped | Yes, via DMCC portal for most filings |
| IFZA | No, standard incorporation packet is stamp-free | Yes, e-signature accepted on most forms |
| Meydan Free Zone | No stamp requirement on file | Yes, portal-based e-signing |
| RAKEZ | No, notarisation replaces the stamp step | Yes for most standard licence filings |
| SPC Free Zone | No stamp required for the licence itself | Yes, digital MOA execution available |
| Ajman Free Zone | No stamp on the core incorporation file | Partial — some renewal steps still paper-based |
What this table does not show is what happens after the licence is issued — none of these zones control what a bank, MOHRE or the Chamber of Commerce will ask for once your company starts operating, which is why “does my free zone require a stamp” and “will I ever need a stamp” are two different questions with two different answers.
Has UAE Pass Replaced the Company Stamp for Digital Signing?
What UAE Pass covers today
UAE Pass, the country’s national digital identity and e-signature platform, lets an authorised individual apply a legally recognised digital signature to documents without printing, signing, scanning and re-uploading them. Since May 2026 it covers Dubai Customs declarations on the Dubai Trade portal, and several free zone authorities now route MOA execution, licence renewals and select government e-services through it. Where a process has been migrated to UAE Pass, the physical stamp genuinely becomes unnecessary for that specific filing.
What it still doesn’t replace
UAE Pass has not been extended to bank account-opening forms, MOHRE labour contract templates, or Chamber of Commerce certificate-of-origin applications — these remain paper-and-stamp workflows at the counterparts you deal with, even though your own free zone company may be fully UAE Pass-enabled internally. Treat UAE Pass adoption as authority-specific rather than a blanket replacement: check whether the specific counterparty (your bank, MOHRE, the chamber) has adopted it before assuming a stamp is no longer needed for that transaction.
What Happens If a Free Zone Company Has No Stamp at All?
Nothing prevents a company from being licensed, opening for business and trading without ever owning a stamp — plenty of consultancy and service licences operate this way for years. The practical cost shows up later and case by case: a bank asks for one before releasing a cheque book, a MOHRE labour file gets kicked back for a missing stamp on the offer letter, or a chamber of commerce rejects a commercial invoice without one. None of these is an emergency — a stamp can be ordered and delivered within a day or two in most emirates — but each one adds a delay to a process that would otherwise have gone through in a single visit or upload.
How to Get a Compliant Company Stamp Made
A UAE company stamp needs to be produced by a licensed stamp maker and typically must show the company’s full legal name exactly as printed on the trade licence, the licence number, and the free zone or emirate of registration — some banks and government counters will reject a stamp that abbreviates the company name or omits the licence number. Free zone business centres and most stationery/typing centres near the relevant government departments can produce one same-day; there is no need to register the stamp with the free zone authority itself, since it functions as a physical artefact rather than a licensed instrument under UAE law.
Frequently Asked Questions
Is a company stamp legally mandatory for a UAE free zone company?
No. No UAE federal law makes a company stamp mandatory for incorporation or ongoing operation. It becomes practically necessary only when a specific counterparty — a bank, MOHRE, GDRFA, or the Chamber of Commerce — requires one for a particular transaction.
Which UAE authority most consistently requires a physical stamp in 2026?
Banks and the Chamber of Commerce are the most consistent. Bank account-opening forms and cheque book issuance frequently require a stamp depending on internal bank policy, and certificate-of-origin applications through the Chamber of Commerce almost always require a stamped commercial invoice.
Has UAE Pass eliminated the need for a company stamp?
Only for the specific processes it has been rolled out to, such as Dubai Customs declarations since May 2026 and select free zone e-services. It has not replaced stamp requirements at banks, MOHRE or the Chamber of Commerce.
Do DMCC, IFZA, Meydan and RAKEZ require a company stamp for incorporation?
No — all four process MOA execution through notarisation or e-signature rather than a stamp, and none lists a company stamp as a document requirement for issuing the trade licence itself.
What should a UAE company stamp include to be accepted by banks and government departments?
The company’s full legal name exactly as it appears on the trade licence, the trade licence number, and the free zone or emirate of registration. A stamp that abbreviates the company name or omits the licence number is more likely to be rejected at a bank counter or government window.
Can a free zone company operate for years without ever owning a stamp?
Yes, and many do — particularly consultancy and services licences that rarely deal with banks’ physical instruments, MOHRE labour files, or export documentation. The gap only becomes visible when one of those specific transactions comes up.
Every UAE free zone company should keep in mind that the notarisation process for MOA execution and the free zone’s own power of attorney requirements are separate from the stamp question covered here — a notarised or POA-executed document does not automatically satisfy a bank or MOHRE’s separate stamp expectation, and vice versa.
